These terms apply to your use of OffSell.com. By using the website you accept them. Where OffSell provides services to you, those services are governed by a separate written engagement, and that engagement prevails over these terms in the event of a conflict.

OffSell provides a managed confidential sale service to qualifying United Kingdom businesses. OffSell does not currently provide business-sale services outside the United Kingdom.

OffSell does not provide legal, tax, accounting or investment advice in any jurisdiction. You should take your own professional advice before entering into any transaction.

Website content is provided for general information. Any business descriptions we share are deliberately non-identifying summaries and are not offers, invitations to treat, or representations or warranties about any business. Information about a specific business is released only under agreed confidentiality terms.

We may change, remove or withdraw any content at any time and without notice.

Submitting a seller enquiry or partner application does not create an engagement, a mandate, a partnership or any obligation on OffSell to act. We may decline any enquiry.

You must ensure the information you provide is accurate and that you are authorised to provide it. Buyers must not misrepresent their identity, funding position or acquisition intent.

Where information about a business is released to you subject to confidentiality terms, you must comply with those terms. You must not use confidential information for any purpose other than evaluating the transaction in question, and must not approach the business, its staff, customers or suppliers except through OffSell.

OffSell does not claim that a sale process can be completely anonymous. We provide controlled disclosure as described in our service disclosures.

Fees for the United Kingdom managed confidential sale service are set out in your written engagement. There is no upfront engagement fee for qualifying businesses; a Heads of Terms payment becomes payable when Heads of Terms are signed and is credited against the final fee; the balance of the completion fee (3.85% of transaction value, minimum £15,000 + VAT) becomes payable on completion.

OffSell acts for sellers. No fee is charged to potential buyers who are approached on a seller's behalf.

The OffSell name, the content of this website and its design are owned by OffSell or licensed to it. You may not reproduce, republish or exploit them commercially without written permission.

BusinessWanted.com is a separate and independent brand. References to it do not imply any common ownership of content or responsibility for its services.

Nothing in these terms excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.

Subject to that, OffSell is not liable for any loss of profit, loss of opportunity, loss of goodwill or indirect or consequential loss arising from use of this website or reliance on its content.

These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
