Are Business Broker Upfront Fees Refundable?

Whether a business broker's upfront fee is refundable depends on the signed agreement. There is no universal rule. Some agreements make engagement or marketing fees non-refundable once work starts; others allow refunds or credits in defined circumstances, such as the broker failing to deliver agreed work. Check how each payment is described, what triggers it, and what the agreement says about refunds, credits and termination. Where the amount is material, take legal advice.

It depends on the signed terms

In a business-to-business agreement, refund rights largely come from the contract itself. Read the fee, termination and refund clauses together, and do not rely on verbal assurances that are not reflected in writing.

Different payments, different treatment

Agreements often treat payments differently:

  • Engagement or onboarding fee: often described as payment for work at the start, and frequently non-refundable once that work begins.
  • Marketing or advertising fee: may cover third-party costs that cannot be recovered once spent.
  • Retainer: usually payment for time over a period, rarely refunded for periods already served.
  • Milestone payment: tied to a stage such as Heads of Terms; the agreement may say whether it is credited against a later fee and what happens if the deal does not complete.

What to check

Look for the scope of work the payment covers, whether any part is refundable or credited, what happens if either side ends the agreement, and whether any further fees fall due on termination. If the scope is vague, it is harder to argue later that agreed work was not delivered.

When to take advice

If a significant sum is involved, or you think a broker has not delivered what was agreed, ask a solicitor to review the agreement and correspondence. This article is general information, not legal advice, and outcomes depend on the specific terms and facts.

Frequently asked questions

Can I get my business broker upfront fee back if the business does not sell?

Only if the agreement provides for it, or in specific circumstances such as a material failure to deliver agreed services. Many upfront fees are described as non-refundable, so check the signed terms.

Is a marketing fee refundable?

It depends on the agreement. Marketing fees often cover third-party costs, such as advertising, which may already have been spent. The contract should explain how they are treated.

What happens to a milestone payment if the deal falls through?

That depends on the agreement. Some credit the payment against a later fee if the process continues; few provide a refund. Check whether the agreement addresses a deal that does not complete.

Does ending the agreement early entitle me to a refund?

Not automatically. Termination clauses often set out notice periods and any fees that remain payable. Read them before signing, not only when you want to leave.

Who can advise me on a broker fee dispute?

A solicitor experienced in commercial contracts can review the agreement and advise on your options. The Law Society's Find a solicitor service lists regulated solicitors in England and Wales.
